What happened
Periodic transaction reports (PTRs) on file with the Clerk of the House show three filings by Rep. Katherine Clark that reported transactions more than 45 days after they occurred, the outer limit the STOCK Act sets (reports are also due within 30 days of notice of a transaction). Filing ID 20019340, signed Aug 15, 2021, lists 41 transactions; 19 are dated June 4, 2021 (spouse-owned trades in IRAs, each valued $1,001 to $15,000, including Alphabet, Best Buy and BlackRock), with a notification date of Aug 13, 2021, so they were reported 72 days after the trades. The other 22 are dated July 27, 2021 and were within the limit. Filing ID 20019234, signed Aug 4, 2021, reports two Jan 31, 2021 sales of shares in a private investment adviser that the company bought back, valued $100,001 to $250,000 and $1,001 to $15,000, held in two trusts Clark inherited in April 2019; it was signed 185 days after the transactions. Filing ID 20022917, signed June 8, 2023, reports two April 8, 2022 exchanges of Warner Bros. Discovery shares received in a spinoff, each valued $1,001 to $15,000 and held in two trusts, with a notification date of May 11, 2023; it was signed 426 days after the transactions. Business Insider reported the first filing on Aug 20, 2021. A Clark spokesperson told it that she 'makes every effort to comply with disclosure requirements' and reported the late transactions as soon as she became aware of them, that she and her husband use separate financial advisers who handle the portfolios without seeking approval for individual trades and that neither personally trades stocks, and that she has asked the advisers to ensure future transactions are reported on time. Fox Business reported on Sept 7, 2021 that an unnamed watchdog group had asked the Office of Congressional Ethics to investigate the first filing, and that Clark's office did not respond to its inquiries. The other 15 of Clark's 18 periodic transaction reports filed from 2021 through July 2026 had no transaction reported after the 45-day limit. The sources reviewed do not say whether a late fee was assessed or whether the House Ethics Committee or Office of Congressional Ethics took any action. No response about the Aug 2021 trust filing or the 2023 filing was found.
