What happened

Two periodic transaction reports filed with the Clerk of the House by Rep. Sean Casten list 11 purchases of Myno Carbon Corp stock and convertible notes held through Casten Shared Investments, a family investment vehicle. The first, filed Jan 16, 2024, lists eight purchases dated from June 25, 2021 to May 17, 2023; the second, filed Aug 9, 2024, lists three purchases dated Oct 31, 2023, Nov 30, 2023 and Apr 22, 2024. The reports give notification dates of Aug 12, 2023, Jan 11, 2024 and July 1, 2024. The STOCK Act requires a report within 30 days of notification and no later than 45 days after a transaction. Measured against that rule, using the dates printed on the reports and the Clerk's filing dates, every one of the 11 purchases was reported between 64 and 890 days after its deadline. Casten's spokesperson, Jacob Vurpillat, told Raw Story on Jan 24, 2024 that the transactions "were loans and equity investments made by Rep. Casten's family investment firm, a company in which he holds a minority, non-controlling stake and has no active participation in," and that "Rep. Casten was unaware of the transactions until August 2023, at which point he proactively consulted with the House Ethics Committee to determine if they are subject to House financial disclosure rules." Raw Story reported that Vurpillat said Casten amended his 2021 and 2022 annual financial reports, filed the new transaction report, and had not been assessed a late fee; it noted the standard fine is $200 and is often waived. That response predates the Aug 2024 report; Newsweek reported in September 2024 that Casten did not respond to its request for comment on the later disclosures. The reports themselves do not show whether a late fee was assessed or waived. A later Myno Carbon report, filed Aug 27, 2024 for a July 30, 2024 note purchase, was filed within the deadline.
